1. Acceptance and other agreements
By accessing or using the Service, creating an account, or generating an API key, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company or other organization, you confirm that you are authorized to bind it, and “you” means that organization. If you do not agree, do not use the Service.
If you and Switch Labs have signed an order form, master service agreement, or other written agreement covering the Service (a “Customer Agreement”), that agreement controls where it conflicts with these Terms. Where we have signed a Data Processing Addendum (“DPA”) with you, the DPA governs our processing of personal data on your behalf.
2. The Service
VerifyAI is an AI image analyzer. You submit a photo together with a verification policy, and the Service returns an automated result, such as a pass or fail verdict, a confidence score, and the reasons for the result. Features, limits, and support vary by plan and are described in our documentation and on our pricing page.
- Sandbox and free evaluation. The sandbox is free and is meant for testing and evaluation, not production use. We may change, limit, or end it at any time.
- Public demo. The demo runs starter policies with generic criteria. Its results show how the product works; they are not tuned to your use case and should not be relied on for decisions. Only upload photos you have the right to use.
- Preview features. Features we label as beta, preview, or experimental are provided as is and may change or be withdrawn.
- Changes. We improve the Service continually and may add, change, or remove features. If a change materially reduces the core functionality of a paid plan you are subscribed to, we will give you reasonable advance notice where practicable.
3. Accounts and API keys
- You must be at least 18 and able to form a binding contract. The Service is for business use.
- Give us accurate account information and keep it up to date.
- Keep your password and API keys confidential. Do not embed secret keys in public code or share them outside your organization. You are responsible for activity under your account and keys.
- Tell us promptly at hello@switchlabs.dev if you suspect unauthorized use. Rotate any key you believe has been exposed.
4. Acceptable use
You will not, and will not allow anyone else to:
- submit photos or data you do not have the right to submit, or without giving any notice or obtaining any consent the law requires from the people shown in them;
- submit unlawful content, including child sexual abuse material or content that infringes someone else’s intellectual property or privacy rights;
- use the Service to identify people from their face or other biometric characteristics, or for unlawful surveillance or tracking of individuals;
- reverse engineer, decompile, or attempt to extract the source code, models, prompts, or underlying components of the Service, except where the law expressly permits it or an open-source license that applies to our SDKs allows it;
- probe, scan, or bypass our security, authentication, rate limits, or usage limits, or share API keys to get around them;
- interfere with or disrupt the Service, or send traffic in excess of the rate limits for your plan;
- resell, sublicense, or provide the Service to third parties as a standalone service unless we agree in writing;
- use the Service to build a competing product or service;
- scrape the website by automated means; or
- use the Service in violation of any applicable law, including export control and sanctions laws.
We may investigate suspected violations and suspend access as described in Section 11.
5. Your data
- Ownership. “Customer Data” means the photos, metadata, policies, and other content you submit to the Service, and the results generated for you. As between you and us, you own Customer Data.
- Our permission to process it. You grant Switch Labs a worldwide, non-exclusive, royalty-free license to host, copy, transmit, and process Customer Data as needed to provide, secure, support, and improve the Service, as described in our Privacy Policy and any DPA. We do not use production customer images to train shared or general-purpose models unless separately agreed in writing.
- Your responsibilities. You are responsible for Customer Data and for having a lawful basis, and giving any required notices, to submit it, including for the riders, drivers, customers, or other people shown in your photos. For personal data in Customer Data you are the controller and we are your processor. Our GDPR page explains the DPA, which is available on request.
- Retention and deletion. Verification images are kept for 90 days by default and then deleted from active systems, unless you configure a different retention period. Export anything you need before your account ends. After termination we delete Customer Data in line with our retention practices and any DPA.
- Usage data. We collect data about how the Service is used, such as request volumes, response times, and error rates, to operate, secure, bill, and improve it. We may use aggregated or de-identified data that does not identify you or any individual.
- Feedback. If you send us suggestions or feedback, we may use them without obligation to you.
6. Automated results
Results are produced by automated image analysis. They can be inaccurate, incomplete, or inconsistent, the same photo can receive different results under different policies or over time, and confidence scores are indicators rather than guarantees.
- You decide how to use results. Before you take an action with significant consequences for a person, such as a fine, a fee, a damage charge, an account suspension, or a claim decision, have a person review the result where appropriate and give the affected person a way to contest it. You are responsible for complying with laws on automated decision-making that apply to you.
- The Service does not guarantee that a photo is authentic, unaltered, or taken at a particular time or place, and it will not catch every instance of non-compliance, damage, fraud, or misconduct.
- Results, including vehicle condition and appraisal outputs, support your own process. They are not legal, insurance, engineering, or professional appraisal advice, and they are not a certified inspection.
7. Fees and payment
- Prices. Paid use is charged at the rates on our pricing page or in your Customer Agreement. Usage-based fees are calculated from the usage the Service records for your account.
- Payment. Self-serve plans are paid by card through our payment processor, Stripe, and you authorize us to charge your payment method for recurring and usage-based fees. Invoicing and payment terms such as NET 30 apply only where your Customer Agreement provides for them.
- Taxes. Fees exclude taxes. You are responsible for applicable sales, use, VAT, and similar taxes, other than taxes on our income.
- Late payment. If a payment fails or is overdue, we may suspend paid features after giving you notice.
- Price changes. We may change our prices. We will give you reasonable advance notice before a change applies to your account.
- Cancellation and refunds. You may cancel a self-serve subscription at any time. Fees incurred before cancellation remain payable. Fees are non-refundable except where the law or your Customer Agreement requires otherwise.
8. Third-party services
The Service relies on third-party providers, including hosting, storage, image analysis, and payment providers. It also works with third-party platforms you choose to connect, such as workflow automation tools and fleet platforms. Your use of those platforms is governed by their own terms, and we are not responsible for them. Links to third-party sites are provided for convenience only.
9. Confidentiality
Each party will protect the other’s non-public business, technical, pricing, and security information with at least reasonable care, use it only for the purposes of the Service, and share it only with people who need to know it and are bound by confidentiality obligations. This does not apply to information that is or becomes public through no fault of the receiving party, that the receiving party already knew or developed independently, or that it lawfully receives from a third party. A party may disclose information where the law requires, after giving the other party notice where lawful.
10. Intellectual property
- Switch Labs owns the Service, including its software, APIs, dashboard, models, documentation, policy templates, and related technology, and all rights in them. These Terms do not transfer any of those rights to you.
- Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes while your account is active. This includes making the Service available to your employees, contractors, drivers, and end customers through your own products and workflows — for example by sending them inspection links or embedding our SDK in your app — provided you remain responsible for their use under these Terms.
- Our SDKs and sample code are distributed under the license that accompanies them. That license governs the SDK code itself; these Terms govern your use of the Service through the SDKs.
- “VerifyAI” and “Switch Labs” and their logos are our trademarks. We will not use your name or logo publicly without your permission.
11. Suspension and termination
- You may stop using the Service at any time.
- We may suspend access, in whole or in part, to address non-payment, a security risk, abuse, unlawful use, a breach of these Terms, or a threat to the stability of the Service. We will make reasonable efforts to give you notice first where practicable.
- Either party may terminate for a material breach that is not cured within 30 days after written notice. We may end free or sandbox access at any time with notice.
- When your access ends, your right to use the Service stops, any unpaid fees become due, and we handle Customer Data as described in Section 5. Terms that by their nature should survive termination will survive, including those on fees owed, Customer Data, automated results, confidentiality, intellectual property, disclaimers, limitation of liability, indemnification, and governing law.
12. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL RESULTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SWITCH LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT IT WILL DETECT ALL NON-COMPLIANT PARKING, DAMAGE, FRAUD, OR MISCONDUCT.
Service level commitments apply only where they are set out in a Customer Agreement. Our status page is provided for information.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SWITCH LABS AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
Nothing in these Terms limits liability that cannot be limited under applicable law. A Customer Agreement may set different limits, in which case those limits apply.
14. Indemnification
You will defend and indemnify Switch Labs, and its officers, employees, and contractors, against third-party claims, and the resulting losses and reasonable costs, arising from Customer Data, from your use of the Service in breach of these Terms or applicable law, or from decisions you make about your own customers, drivers, or other end users based on results, except to the extent the claim arises from our breach of these Terms.
We will notify you promptly of any claim covered by this section, let you control its defense and settlement, and reasonably cooperate at your expense. You may not settle a claim in a way that imposes obligations on us or admits fault on our behalf without our written consent.
15. Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Before starting formal proceedings, each party will try in good faith to resolve a dispute through negotiation for 30 days. The state and federal courts located in New York County, New York have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and each party consents to that jurisdiction. Nothing here removes mandatory protections you have under the law of the place where you live.
16. Changes to these Terms
We may update these Terms. When we do, we will update the effective date at the top of this page. If a change is material, we will give account holders reasonable advance notice, for example by email or in the dashboard. Continuing to use the Service after a change takes effect means you accept it.
17. General
- Entire agreement. These Terms, the Privacy Policy, and any Customer Agreement and DPA are the entire agreement between you and us about the Service.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of all or part of our business.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, other than payment obligations.
- Severability and waiver. If a provision is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver of it.
- Relationship. The parties are independent contractors.
- Notices. We send notices to the email address on your account. You can send notices to hello@switchlabs.dev.
